Terms of Service

1. Introduction
Welcome to Clear Bill. These Terms of Service ("Terms") govern your access to and use of the Clear Bill website, web application, and related services (collectively, the "Service") operated by Clear Bill ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. Service Description
Clear Bill is a web-based invoicing tool designed for Canadian small businesses, freelancers, and independent contractors. The Service allows users to create, manage, and send professional invoices, track payments, manage client information, and generate reports. Clear Bill includes features such as automatic GST/HST and provincial tax calculations, recurring invoice scheduling, and payment status tracking.
3. Account Terms
You must be at least 18 years of age to create an account and use the Service. By registering for an account, you represent and warrant that you are at least 18 years old and that the information you provide during registration is accurate, complete, and current.
You are responsible for maintaining the security of your account credentials, including your password. You are fully responsible for all activities that occur under your account. You agree to notify us immediately at support@clearbill.ca if you become aware of any unauthorized use of your account.
We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, incomplete, or fraudulent.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable federal, provincial, and local laws and regulations. You may not use the Service to:
- Generate fraudulent, misleading, or illegal invoices or financial documents.
- Transmit any viruses, malware, or other harmful code through the Service.
- Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
- Use the Service in any way that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.
- Use automated scripts, bots, or other means to access the Service for any purpose without our prior written consent.
5. Payment Terms
Clear Bill offers a 14-day free trial for new users. During the trial period, you will have access to all features of the Service at no charge. No credit card is required to start a trial.
After the trial period, continued use of the Service requires a paid subscription. Subscriptions are billed on a monthly basis. All payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your payment method on a recurring monthly basis until you cancel your subscription.
All fees are quoted and charged in Canadian dollars (CAD) and are exclusive of applicable taxes unless otherwise stated. Prices are subject to change with 30 days' prior notice.
6. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us at support@clearbill.ca. Upon cancellation, you will retain access to the Service until the end of your current billing period. After that, your account will be downgraded and you will no longer have access to paid features.
We do not provide prorated refunds for partial billing periods. You are responsible for any charges incurred before your cancellation takes effect.
7. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Clear Bill and its licensors. The Service is protected by copyright, trademark, and other laws of Canada and foreign countries. You retain ownership of all data and content you upload to the Service, including invoice data, client information, and business records.
8. Limitation of Liability
Clear Bill is a tool for generating invoices. Tax calculations are provided for convenience and should be verified by the user. Clear Bill is not a tax advisor. You acknowledge that Clear Bill does not provide tax, legal, or accounting advice, and you should consult with a qualified professional for such matters.
To the maximum extent permitted by applicable law, Clear Bill and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Service; (b) any errors, inaccuracies, or omissions in tax calculations or other information provided by the Service; or (c) any unauthorized access to or use of our servers or any personal information stored therein.
In no event shall our aggregate liability exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
9. Data Storage
All user data is stored on servers located in Canada. We take reasonable measures to protect your data in accordance with industry standards and applicable Canadian privacy legislation. For more information about how we handle your data, please review our Privacy Policy.
10. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email at the address associated with your account at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the Province of British Columbia, Canada, and you hereby consent to the personal jurisdiction and venue of such courts.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
